Executive Summary
Bacterin International Holdings Inc. acquired private spinal surgery company X-spine Systems Inc. for 4.24mm shares of Bacterin common stock (valued at $4.00 per share) and $60mm in cash (plus the extinguishment of $13mm of debt). The transaction will be funded by an amended $42mm senior secured credit facility with OrbiMed and a $65mm convertible unsecured senior notes issue. Concurrent with the closing, Bacterin will change its name to Xtant Medical Holdings Inc.
