Executive Summary

Orthofix International (Netherlands) is to acquire American Medical Electronics for $79 million. Some 43% of the transaction will be paid in Orthofix shares and the remainder in cash. In addition, AME shareholders will receive up to $18 million if certain revenues or earnings targets are met before the end of 1995. The new company will be called Orthofix Inc, combining AME's portfolio of bone healing products with Orthofix' line of external fixation products already sold in the US. The purchase is subject to shareholder approval of both companies. AME had sales of $38 million last year, and Orthofix $40 million.
