Bayer Buys Essure Contraceptive-Maker Conceptus For $1.1 Billion

The acquisition will add a popular nonsurgical, permanent birth control device to Bayer’s line of contraceptive pharmaceuticals and women’s health products.

Bayer HealthCare LLC, a subgroup of German conglomerate Bayer AG, has agreed to buy Conceptus Inc. for $1.1 billion, allowing it to add the Essure nonsurgical, permanent birth control device to its line of long-term intrauterine birth control devices and short-term oral contraceptive pharmaceuticals.

The deal, announced April 29, called for Bayer to officially launch a tender offer within 10 days to acquire all shares of Conceptus for $31.00 per share. Conceptus shares closed...
